These Terms of Service ("Terms") govern your access to and use of the TimeLock website and services (collectively, the "Service"), operated by Baxter Research Group ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.
1. Eligibility
You must be at least 16 years of age (or the applicable age of digital consent in your jurisdiction) to use the Service. By using the Service, you represent and warrant that you meet this eligibility requirement. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
2. Accounts
To access certain features, you must create an account using a valid email address. We use passwordless authentication — a temporary sign-in code is sent to your email each time you log in. You are responsible for maintaining access to the email address associated with your account and for all activity that occurs under your account. You must notify us immediately if you suspect unauthorized use of your account. We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe have been compromised.
3. The Service
3.1 Core Features
TimeLock is a scheduling and availability coordination tool. The core features include creating scheduling events with proposed time slots, sharing event links with participants, collecting availability responses, viewing aggregated results to find optimal meeting times, and finalizing events at a chosen time. Participants may respond to events without creating an account.
3.2 AI-Powered Features
TimeLock offers optional AI-powered scheduling suggestions, including best-time recommendations, agenda generation, and response summaries. These features use Anthropic's Claude API and are subject to usage limits based on your plan tier. AI-generated suggestions are provided for informational purposes only and should not be relied upon as the sole basis for scheduling decisions. We do not guarantee the accuracy, completeness, or suitability of AI-generated content.
3.3 Email Invitations
Organizers may invite participants to events via email through the Service. By using the invitation feature, you represent that you have permission to send invitations to the email addresses you provide. You must not use the invitation feature to send unsolicited or spam messages. Invitation volume is limited by plan tier.
4. Plans and Subscriptions
4.1 Plan Tiers
TimeLock offers Free, Pro, and Team plan tiers with different feature sets and usage limits. Details of what each plan includes are described on our pricing page and may change from time to time. We will provide notice of material changes to plan features or pricing.
4.2 Billing and Payment
Paid subscriptions are billed monthly through Stripe. By subscribing to a paid plan, you authorize us to charge the payment method on file through Stripe on a recurring basis until you cancel. All fees are stated in US dollars and are non-refundable except as required by applicable law or as described in our refund policy below.
4.3 Cancellation
You may cancel your subscription at any time through your dashboard settings. Upon cancellation, your subscription will remain active until the end of your current billing period, after which your account will revert to the Free plan. You will not be charged for subsequent billing periods after cancellation.
4.4 Refunds
We generally do not offer refunds for partial billing periods. If you believe you have been charged in error, please contact us within 30 days of the charge and we will review your request. Refunds required by applicable consumer protection law will be honored.
5. Acceptable Use
You agree not to use the Service to: violate any applicable law or regulation; send unsolicited or spam communications through event invitations; impersonate another person or entity; collect personal information from other users without their consent; interfere with or disrupt the Service or its infrastructure; attempt to gain unauthorized access to the Service or other users' accounts; use automated means (bots, scrapers, etc.) to access the Service without our written permission; upload or transmit malicious code, viruses, or harmful data; or use AI features to generate harmful, misleading, or illegal content.
6. Intellectual Property
6.1 Our Content
The Service, including its design, text, graphics, logos, icons, software, and all other content and materials (excluding user content), is owned by or licensed to Baxter Research Group and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.
6.2 Your Content
You retain ownership of the content you submit to the Service (event titles, descriptions, comments, etc.). By submitting content, you grant us a limited, non-exclusive, worldwide, royalty-free license to use, store, display, and transmit your content solely as necessary to provide and improve the Service. This license terminates when you delete your content or account.
6.3 Feedback
If you provide us with suggestions, ideas, or feedback about the Service, you grant us an unrestricted, irrevocable, worldwide, royalty-free license to use and incorporate that feedback without obligation to you.
7. Privacy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and share your information. By using the Service, you acknowledge that you have read and understand our Privacy Policy.
8. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS. AI-GENERATED CONTENT IS PROVIDED WITHOUT ANY WARRANTY OF ACCURACY OR RELIABILITY.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BAXTER RESEARCH GROUP, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (A) YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (C) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR DATA; OR (D) RELIANCE ON AI-GENERATED SUGGESTIONS. OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR ONE HUNDRED US DOLLARS ($100).
10. Indemnification
You agree to indemnify, defend, and hold harmless Baxter Research Group and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with: your use of the Service; your violation of these Terms; your violation of any rights of another person or entity; or content you submit through the Service.
11. Termination
We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. You may terminate your account at any time by deleting it through your dashboard settings. Upon termination, your right to use the Service ceases immediately. Sections of these Terms that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) will survive.
12. Dispute Resolution
Any disputes arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within 30 days, either party may pursue resolution through binding arbitration administered under the rules of the American Arbitration Association, with proceedings conducted in English. Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction. For users located in the European Union, this clause does not affect your right to bring claims before the courts of your country of residence as provided by applicable law.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Indiana, United States, without regard to conflict of law principles. For users in the European Union or other jurisdictions where mandatory consumer protection laws apply, those mandatory provisions will take precedence to the extent they are more favorable to the consumer.
14. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you by updating the "Last updated" date at the top of this page and, where required by law, by providing additional notice (such as an email). Your continued use of the Service after any changes constitutes your acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service.
15. Accessibility
We are committed to making the Service accessible to all users. We strive to conform to the Web Content Accessibility Guidelines (WCAG) 2.1 Level AA. If you encounter any accessibility barriers or have suggestions for improvement, please contact us and we will make reasonable efforts to address your concerns.
16. General Provisions
These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Baxter Research Group regarding the Service. If any provision of these Terms is held to be unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any provision of these Terms shall not be construed as a waiver of that provision. You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
